Terms of Service
Please review these terms carefully before scheduling a consultation, requesting a proposal, or engaging our interior design services.
1. Agreement to Terms
By accessing our website, submitting a project inquiry, or engaging Emberwood Studio Interior for consultation, space planning, or interior execution, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our design services or accessing our project resources.
These terms apply to all clients, visitors, collaborators, and third-party vendors who access our website or participate in our design projects.
2. Intellectual Property Rights
Our design concepts, 3D renderings, floor plans, material specifications, mood boards, and project photography are the exclusive intellectual property of Emberwood Studio Interior and are protected by international copyright, trademark, and design patent laws.
- All preliminary designs and concepts remain our exclusive property until final project payment is completed
- You may not reproduce, modify, or distribute our design documents without written consent
- Our studio branding and trademarks may not be used for promotional purposes without permission
- Upon project completion, you receive a non-exclusive license to use final designs for the specified property only
- We retain the right to feature completed projects in our portfolio, publications, and marketing materials with appropriate credit
3. Client Portals & Accounts
When you create a client account or access our project management dashboard, you must provide accurate, complete, and current information. Failure to do so may result in delayed project timelines or restricted access to design files and invoices.
Important Notice
You are responsible for safeguarding your portal login credentials and for all activities that occur under your client account, including file downloads, approval submissions, and payment processing.
4. Prohibited Activities
You may not access or use our website, design assets, or project management tools for any purpose other than engaging with our interior design services.
5. Service Disclaimers
Your engagement with our design services is at your sole risk. Design renderings, material samples, and project timelines are provided "AS IS" and subject to site conditions, manufacturer availability, and third-party contractor execution.
We do not guarantee that:
- Final executed spaces will identically match preliminary 3D renderings due to lighting, material batch variations, or structural constraints
- Project timelines will remain uninterrupted, as they depend on supply chain availability and subcontractor scheduling
- Third-party vendors (contractors, artisans, fabricators) will operate outside their own warranties or service terms
- All design modifications will be implemented without additional scope adjustments or budget revisions
6. Limitation of Liability
In no event shall Emberwood Studio Interior be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with design delays, material substitutions, contractor performance, or structural modifications made outside our direct supervision.
7. Indemnification
You agree to defend, indemnify, and hold Emberwood Studio Interior harmless from and against any claims, liabilities, damages, losses, or expenses arising from unapproved site modifications, hiring of third-party contractors outside our management scope, or violations of local building codes and HOA regulations.
8. Project Termination
Either party may terminate an active design project per the signed agreement terms. Upon termination, all outstanding invoices become due immediately. Emberwood Studio Interior retains all intellectual property rights to incomplete designs until all financial obligations are settled. Completed phases may not be resumed without a new scope agreement.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising from these terms or project engagements shall be resolved in the courts of Worcester County, Massachusetts.
10. Changes to Terms
We reserve the right to modify or replace these Terms at any time to reflect updates in our design processes, legal compliance, or service structure. We will provide notice of material changes by posting the revised Terms on this page and notifying active clients via email.
By continuing to access our website, client portal, or project services after revisions become effective, you agree to be bound by the updated terms.
